1. Introduction

Welcome to LearnSuite. These Terms and Conditions ("Terms") constitute a legally binding agreement between you and Pixima Labs Limited, the owner of the LearnSuite platform, ("Company," "we," "us," or "our"), the owner and operator of the LearnSuite platform.

For clarity, references to "LearnSuite" in these Terms refer to the LearnSuite software platform operated by Pixima Labs Data Limited.

These Terms govern your access to and use of the LearnSuite website, Learning Management System (LMS), School Management System (SMS), and related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you are entering into these Terms on behalf of an educational institution (a "Subscriber"), you represent that you have the authority to bind that institution to these Terms.

2. Definitions

  • "Subscriber": The school, district, or educational institution that purchases the Service.
  • "Authorized User": An individual authorized by the Subscriber to use the Service (e.g., administrators, teachers, students, parents).
  • "Subscriber Data": All electronic data, content, and information submitted by the Subscriber or its Authorized Users to the Service.

3. Account Registration and Use

3.1 User Accounts

To access the Service, Authorized Users must have an account provisioned by the Subscriber. Users agree to:

  • Provide accurate and complete information.
  • Maintain the confidentiality of their login credentials.
  • Notify us immediately of any unauthorized access to their account.

3.2 School Responsibilities

The Subscriber (School) is responsible for:

  • Ensuring that its Authorized Users comply with these Terms.
  • Obtaining necessary consents from parents/guardians for students under the age of majority to use the Service.
  • The accuracy and legality of the Subscriber Data uploaded to the system.

4. Subscriptions and Billing

Fees: The Subscriber agrees to pay the fees specified in the Order Form or Contract. All fees are non-refundable unless otherwise stated.

Payment Terms: Invoices are due as per the terms agreed upon in the service contract. Late payments may result in a temporary suspension of access to the Service.

5. Intellectual Property Rights

5.1 Our IP

The Service, including its software, source code, architecture, documentation, design, trademarks, branding, and all related intellectual property rights, is the exclusive property of Pixima Labs Limited. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service solely for your internal educational and administrative purposes.

5.2 Your Data

LearnSuite claims no ownership over Subscriber Data (e.g., student grades, lesson plans). You grant us a worldwide, royalty-free license to use, host, store, and display Subscriber Data solely as necessary to provide, maintain, and improve the Service (e.g., processing data via our cloud providers).

6. Acceptable Use Policy

You agree not to:

  • Use the Service for any illegal purpose or in violation of any local, state, or national law.
  • Attempt to reverse engineer, decompile, or hack the Service or its underlying infrastructure (including our cloud and security configurations).
  • Upload viruses, malware, or any code capable of disrupting the Service.
  • Excessively burden the Service's infrastructure (e.g., engaging in Distributed Denial of Service attacks).

7. Fair Use Policy

7.1 Scope of "Unlimited" Use

LearnSuite provides "Unlimited" generation on specific Paid Plans to support the dynamic needs of professional educators. This access is intended for personal, professional use by a single individual to create, iterate, and differentiate educational materials.

7.2 Prohibited Use & Abuse

To ensure high performance and availability for all users, the following activities are strictly prohibited and constitute a violation of this Fair Use Policy:

  • Automated Use: The use of bots, scripts, or "scrapers" to generate content at scale.
  • Account Sharing: Sharing a single "Paid" account across multiple users or an entire school department (unless on an Institutional Plan).
  • Reselling: Generating content for the sole purpose of reselling it on third-party marketplaces.
  • API Bypassing: Attempting to access LearnSuite's underlying AI models directly outside of the provided user interface.

7.3 Monitoring & Thresholds

While we do not impose a "hard cap" on generations, LearnSuite monitors usage patterns to detect non-human behavior.

Typical Use: We consider "Normal Use" to be any volume of generation consistent with a single teacher managing a full course load (typically up to 50–100 plans per week).

Excessive Use: Usage that significantly exceeds the average consumption of our top 1% of users (e.g., thousands of generations in a 24-hour period) may trigger an automated review.

7.4 Remedies for Excessive Use

If an account is flagged for potential abuse, LearnSuite reserves the right to:

  • Throttle: Temporarily reduce the generation speed for that account.
  • Verify: Contact the user to confirm the account is being used by a human educator.
  • Suspend: Temporarily or permanently suspend accounts that continue to violate these terms after a warning.

8. Service Availability and Maintenance

8.1 Uptime

We use commercially reasonable efforts (utilizing top-tier cloud infrastructure) to ensure the Service is available 24/7. However, we do not guarantee that the Service will be uninterrupted or error-free.

8.2 Maintenance

We reserve the right to temporarily suspend access to the Service for scheduled maintenance, security updates, or upgrades. We will endeavor to provide reasonable notice for any scheduled downtime.

9. Data Protection and Privacy

We care about data privacy and security. By using the Service, you agree to the collection and use of information in accordance with our Privacy Policy.

Security: We implement industry-standard security measures (including encryption and Role-Based Access Control).

Compliance: We process data in compliance with applicable data protection laws and relevant educational privacy standards.

10. Limitation of Liability

Please read this section carefully. To the maximum extent permitted by law:

Indirect Damages: LearnSuite shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill.

Third-Party Failure: We are not liable for downtime or data loss caused by third-party infrastructure providers (e.g., a data center outage or network security provider disruption) beyond our reasonable control.

Liability Cap: In no event shall LearnSuite's total liability to you for all claims exceed the amount paid by the Subscriber to LearnSuite in the twelve (12) months preceding the claim.

11. Termination

By Subscriber: The Subscriber may terminate the agreement by providing written notice as specified in their service contract.

By LearnSuite: We may suspend or terminate your access immediately if you materially breach these Terms.

Effect of Termination: Upon termination, the Subscriber's right to use the Service ceases. We will provide a reasonable window (not exceeding 30 days) for the Subscriber to export their data, after which LearnSuite may delete all Subscriber Data from our systems, unless otherwise stated in the service contract.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Jamaica. Any dispute arising from these Terms shall be resolved in the courts located in Kingston, Jamaica.

13. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify Subscribers via email or a prominent notice on the Service. Continued use of the Service after such changes implies acceptance of the new Terms.
